Assistant Director of Corporate Governance

Job Description

Finegreen are currently working with an NHS organisation, based in Wales to appoint an Assistant Director of Corporate Governance with immediate effect.

The post will be hybrid working on an interim basis for 3 – 6 months, with an hourly rate of £49.54, working inside IR35 (through an Umbrella solution company).

The post holder will be required to work on site, travelling to board meetings and in some instances deputise for the Board Secretary in acting as a principal advisor to the Board and the organisation on all aspects of governance.

Key responsibilities will include:

  • Develop a proactive relationship with Board/Committee members, acting as a principal point of contact with members and providing ongoing advice and support regarding the discharge of their duties;

  • Lead on the design and development of induction programmes for new Board/Committee members and ensure delivery of agreed induction which ensures a full, formal, and tailored introduction to the work of the organisation;

  • Ensure that Board and Committee business is properly planned and effectively co-ordinated through the production of Annual Plans of Board and Committee business;

  • Design and develop the organisation’s overarching Annual Governance Statement and contribute to the development of the governance framework;

  • Ensure all aspects are properly constituted, operated, and supported, according to the relevant statutory framework and in accordance with directions set by the Welsh Government;

  • Create assurance reports and analysis to the Executive Team, Audit Committee, Board, external regulators, and Welsh Government as appropriate;

  • Support Board succession planning and overseeing Independent Members’ rotation on committees as appropriate;

  • Ensure Standing Orders and Standing Financial Instructions are adopted, acted upon, reviewed, and amended/updated as necessary;

  • Lead on the appropriate co-ordination of internal and external assurance activities carried out by the organisation staff and NHS auditors, inspectors, and regulators;

  • Be a budget holder, responsible for budget setting and management in accordance with the organisations scheme.

The ideal candidate will have:

  • Must have experience working within the NHS/a healthcare setting;

  • Expert legal knowledge related to the NHS and the conduct of Health Boards;

  • Thorough understanding of the statutory and regulatory framework for the NHS;

  • Significant experience of developing governance and assurance arrangements at an organisational level

  • Experience of operating within a complex environment

  • Management of teams, working at a senior level;

  • Able to identify and manage critical issues and priorities.
